- Multi-user access with role-based permissions
3. Intended Use and Target Market
RECOMMENDED USE: TOOLKIT is designed and optimized for small independent automotive repair shops with:
- Annual revenue under $1,000,000
- Fewer than 15 employees
- Single-location operations
- Simple tax and accounting structures
Shops with higher revenue, multiple locations, or complex accounting requirements should consult with their accountant or tax professional before using TOOLKIT.
4. License Grant and Restrictions
4.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use TOOLKIT solely for your internal business operations.
4.2 License Restrictions
You agree NOT to:
- Copy or redistribute: You may not copy, reproduce, distribute, or create derivative works of the Software
- Resell or sublicense: You may not resell, rent, lease, or sublicense access to TOOLKIT
- Reverse engineer: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code
- Remove copyright notices: You may not remove, alter, or obscure any proprietary notices
- Use for unauthorized purposes: You may only use TOOLKIT for legitimate automotive repair shop management
- Bypass security: You may not circumvent any security features or access controls
- Share account credentials: Each user must have their own individual login credentials
5. Intellectual Property Rights
Ownership: TOOLKIT, including all software, code, features, functionality, designs, logos, and content, is owned by us and protected by United States and international copyright, trademark, and other intellectual property laws.
Your Data: You retain all rights to your business data (work orders, customer information, invoices, etc.). We do not claim ownership of your data.
Feedback: If you provide suggestions, ideas, or feedback, we may use them without any obligation to compensate you.
6. User Responsibilities
You are solely responsible for:
- Data accuracy: Verifying all calculations, totals, tax rates, and pricing
- Legal compliance: Complying with all applicable federal, state, and local laws including tax laws, labor laws, and consumer protection regulations
- Tax filing: Consulting with qualified tax professionals for tax preparation and filing
- Accounting: Maintaining proper accounting records and consulting with accountants
- Data backup: Maintaining your own backup copies of critical business data
- Account security: Maintaining the confidentiality of your login credentials
- User conduct: Ensuring all users with access to your account comply with these Terms
- Appropriate use: Using TOOLKIT only for its intended purpose
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We specifically disclaim all warranties including but not limited to:

- Warranties regarding data security or prevention of data loss
YOU USE THE SERVICE AT YOUR OWN RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Liability Cap: Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or $100 USD, whichever is greater.
- No Consequential Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or inability to access data
- Business interruption or downtime
- Cost of substitute services
- Damage to reputation
- IRS audits, fines, or penalties
- Legal fees or litigation costs
This limitation applies even if we have been advised of the possibility of such damages.
9. No Professional Advice
TOOLKIT is a software tool only and does not constitute:
- Accounting, bookkeeping, or tax advice
- Legal advice or legal services
- Business consulting or management advice
- Financial planning or investment advice
You must consult with qualified professionals (accountants, lawyers, tax advisors) for business decisions, tax filing, legal compliance, and financial planning.
10. Payment Terms
10.1 Subscription Fees
TOOLKIT is offered as a subscription service. Current pricing is available on our website. You agree to pay all fees associated with your subscription.
10.2 Billing
- Subscriptions are billed monthly in advance
- Payment is due immediately upon subscription
- We use third-party payment processors (Stripe, etc.)
- You authorize us to charge your payment method automatically each billing cycle
10.3 Price Changes
We reserve the right to change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
10.4 Late Payment
If payment fails, we may suspend or terminate your access until payment is received.
11. Cancellation and Refunds
11.1 Your Cancellation Rights
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds for partial months.
11.2 30-Day Money-Back Guarantee
For new subscriptions, we offer a 30-day money-back guarantee. If you're not satisfied within the first 30 days, contact us for a full refund.
11.3 Our Termination Rights
We reserve the right to suspend or terminate your account if you:
- Violate these Terms
- Use the Service for illegal purposes
- Fail to pay subscription fees
- Engage in abusive conduct toward our staff
- Attempt to circumvent security or access controls
12. Data Security and Privacy

- Encryption at rest (Firebase Realtime Database)
- Role-based access controls
- Regular security updates

13. Data Backup and Loss
While we maintain backups of our systems:
- We are NOT responsible for data loss due to any cause
- You are solely responsible for maintaining your own backups
- We recommend exporting critical data regularly
- We do not guarantee data recovery in case of system failure
14. Service Availability
We strive for high availability but do not guarantee:
- Uninterrupted access to the Service
- Error-free operation
- Specific uptime percentages
We may perform maintenance, updates, or modifications at any time with or without notice.
15. Modifications to Service and Terms

20. Export Compliance
You agree to comply with all applicable export and import laws. You may not use TOOLKIT in any country embargoed by the United States or on any denied party list.
21. Force Majeure
We shall not be liable for any failure or delay in performance due to events beyond our reasonable control including but not limited to:
- Natural disasters (earthquakes, floods, fires)
- Acts of war or terrorism
- Government actions or regulations
- Internet or telecommunications failures
- Third-party service outages (Firebase, hosting providers)
- Pandemics or public health emergencies
22. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original.
23. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TOOLKIT regarding use of the Service and supersede all prior agreements and understandings.
24. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
25. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
